These Terms and Conditions are set forth by Centric Fiber Op Co, LLC and its subsidiaries (Company) for the person or entity who makes use of Company's Internet Services and / or products (Customer) and is subject to acceptance by Company. Company shall provide and Customer shall accept Internet Service (all Internet related services provided by Company offered herein and hereinafter are defined as Service or Internet Service) at the applicable rates and charges, subject to the Terms and Conditions specified herein. Company shall provide Customer with an Internet access account ID(s) and phone number(s) by which Customer may use Company's Internet system. Customer shall not have any proprietary right to the access account ID(s) and phone numbers(s) provided to it by Company. Company reserves the right to revise, in its sole discretion, the rates, Terms and Conditions upon at least 30 days' written notice to Customer, such notice to be given at least 30 days prior to the beginning of the next billing period. Customer agrees to pay for Service pursuant to such revised rates, Terms and Conditions, unless Customer terminates Service in accordance with these Terms and Conditions. Company reserves the right to assign, designate or change access account ID(s) and access phone number(s) when, in its sole discretion, such assignment designation or change is reasonable or necessary in the conduct of its business. Service is subject to transmission limitations caused by atmospheric, topographical and any other like conditions. Additionally, Service may be temporarily refused, limited, interrupted or curtailed due to government, regulations or orders, system capacity limitations, limitations imposed by an underlying communications carrier, or because of equipment modifications, upgrades, repairs or reallocations or other similar activities necessary or proper for the operation or improvement of Company's Internet system.
To support Company’s advanced fiber network, federal testing regulations, and a superior customer experience, a Company gateway or router is now required for residential broadband service. If the gateway is unplugged or powered off, broadband service will be interrupted. For broadband services to work, the Company gateway is required to be plugged in. Company gateways, routers, mesh extenders, batteries, solar panels, and additional devices (collectively, known as the Equipment) are the property of Company and must be returned upon termination of service. Your broadband Internet access service performance can be affected by a wide range of factors, many of which are beyond the control of Company. The capabilities of the server with which you are communicating, the capacity of the network to which that server is attached, the distance and number of routers (or "hops") between your device and the other Internet end point you are contacting, and general congestion on the Internet are common factors that can affect performance, regardless of your service type. Other factors include, but are not limited to, the following:
Wired Services - Service performance may be affected by the wiring inside your dwelling, the distance between your dwelling and a Company central office, the capabilities of your computer, and the applications you use.
Wi-Fi Services – Company makes no guarantees about Wi-Fi service delivered with a Company provided device. Service performance may be affected by your proximity to the device, the number of other users/devices connected, the composition of the home/office where the device is located (wood, concrete, etc.), radio frequency interference, the capabilities of your laptop, tablet or other Wi-Fi capable device, and the applications you use.
Company's Home/Commercial Wi-Fi service is designed to provide customers with the highest speed available from the network at any given point in time, subject to the many different factors discussed above that can affect network performance.
Service and equipment are furnished for use by Customer for any lawful purpose. Customer warrants Customer is at least 18 years old.
A change or discontinuance of Service will be accepted only from the account holder as shown on the application for Service.
LIMITATION OF COMPANY'S LIABILITY
Customer agrees to abide by the Acceptable Use Policy of Company which is subject to change from time to time. A current Acceptable Use Policy will be maintained at Company’s website site https://www.centricfiber.com/pages/acceptable-use-policy?hsLang=en.
RATES AND CHARGES.
Unless otherwise agreed by Company, Customer will be billed in advance for monthly access base rate charges and in arrears for simultaneous log-ons, bandwidth and disk use charges.
DEFAULT AND WAIVER.
Neither these Terms and Conditions nor Customer's rights hereunder shall be assignable by Customer except with Company's prior written consent. The Conditions hereof shall bind any permitted successors and assigns of Customer.
Customer acknowledges that these Terms and Conditions contain the entire understanding between the parties relating to the Services and/or equipment described herein and that Company and its employees have not made orally or in writing any representations, warranties or agreements inconsistent with the Terms and Conditions herein. These Terms and Conditions supersede all prior Terms and Conditions and understandings, both oral and written, with respect to the subject matter hereof. Company may, at its sole discretion, modify these Terms and Conditions. Customers continued use of Company's Service signifies Customer's acceptance of the Terms and Conditions. Customer agrees to notify Company within 30 days of any change of Customer's address. These Terms and Conditions shall be governed by, construed, and enforced in accordance with the laws of the state of Texas, County of Montgomery.
If any part of these Terms and Conditions is contrary to or prohibited by or deemed invalid under applicable laws and regulations of any applicable jurisdiction, the remaining provisions and parts thereof shall remain and be construed in full force and effect to the extent permitted by law.
This Agreement shall automatically renew on a month-to-month basis unless terminated by either party. Customer may terminate Service at any time by contacting Company by phone at 877.342.7270. Termination will be effective upon confirmation from Company, and Customer will remain responsible for all charges incurred through the termination date. Company reserves the right not to renew this Agreement for any reason.
Upon termination of the Services, Customer shall return the Equipment to Company in accordance with the instructions below within 30 days of the date that the Services are deactivated. Customer may return the Equipment to us by dropping off the Equipment at any UPS store, at no cost to Customer.
If Customer fails to return Company Equipment within 30 days of termination of services, then Customer shall pay lost equipment charge of $150.00, and, in that event, Customer is not obligated to return the Equipment to us.
COMPANY ACCEPTABLE USE POLICY

You, the customer, must comply with this AUP. Your failure to do so could result in the suspension or termination of your Internet Service account. If you do not agree to comply with this AUP, you must immediately stop all use of the Internet Service and notify Company so that it can close your account. By using the Internet Service, you agree to follow this AUP.
All capitalized terms used in this AUP that are not defined here have the meanings given to them in the Subscriber Agreement.
Company may revise this AUP from time to time by posting a new version on the Web site at www.centricfiber.com (the “Company website”). Company will make reasonable efforts to make customers aware of any changes to this AUP, which may include sending e-mail announcements or posting information on the Company website or including changes into the AUP. Revised versions of this AUP are effective immediately upon posting. Accordingly, customers of the Company Internet Service should read any Company announcements they receive and regularly visit the Company web site and review this AUP to ensure that their activities conform to the most recent version. In general, this AUP prohibits uses and activities involving the Internet Service that are illegal, infringe the rights of others, or interfere with or diminish the use and enjoyment of the Internet Service by others.
No user of the Internet Service or Company Equipment may, individually or in combination with another: restrict, inhibit, or otherwise interfere with the ability of any other person, regardless of intent, purpose or knowledge, to use or enjoy the Internet Service (except for safety and security functions such as parental controls, for example), including, without limitation, posting or transmitting any information or software which contains a worm, virus, or other harmful feature, or generating levels of traffic sufficient to impede others' ability to use, send, or retrieve information; restrict, inhibit, interfere with, or otherwise disrupt performance of the Internet Service or cause a performance degradation regardless of intent, purpose or knowledge, to the Internet Service or any Company (or Company supplier) host, server, backbone network, node or service, or otherwise cause a performance degradation to any Company (or Company supplier) facilities used to deliver the Internet Service; resell the Internet Service or otherwise make available to anyone outside the Premises the ability to use the Internet Service (for example, through Wi-Fi or other methods of networking), in whole or in part, directly or indirectly. The Internet Service is for personal use only and you agree not to use the Internet Service for operation as an Internet service provider or for offering service to others without express written approval of Company (e.g. businesses wishing to contract to offer Wi-Fi service at their location to their customers);connect the Company Equipment to any computer outside of your Premises; interfere with computer networking or telecommunications service to any user, host or network, including, without limitation, denial of service attacks, flooding of a network, overloading a service, improper seizing and abusing operator privileges, and attempts to “crash” a host; and accessing and using the Internet Service with anything other than a dynamic Internet Protocol (“IP”) address that adheres to the dynamic host configuration protocol (“DHCP”). You may not configure the Internet Service or any related equipment to access or use a static IP address or use any protocol other than DHCP unless you are subject to an Internet Service plan that expressly permits you to do so.
No user of the Internet Service or Company’s equipment may, individually or in combination with another: avoid incurring charges for or otherwise being required to pay for usage of the Broadband Service; invade another person’s privacy, stalk, harass, or otherwise violate the rights of other persons; undertake or accomplish any unlawful purpose. This includes, but is not limited to, posting, storing, transmitting or disseminating information, data or material which is libelous, obscene, unlawful, threatening or defamatory, or which infringes the intellectual property rights of any person or entity, or which in any way constitutes or encourages conduct that would constitute a criminal offense, or otherwise violate any local, state, federal, or non-U.S. law, order, or regulation; post, store, send, transmit, or disseminate any information or material which a reasonable person could deem to be unlawful; upload, post, publish, transmit, reproduce, create derivative works of, or distribute in any way information, software or other material obtained through the Broadband Service or otherwise that is protected by copyright or other proprietary right, without obtaining any required permission of the owner; collect, or attempt to collect, personal information about third parties without their consent; transmit unsolicited bulk or commercial messages commonly known as “spam; ”send voluminous copies of the same or substantially similar messages, empty messages, or messages which contain no substantive content, or send very large messages or files that disrupts a server, account, blog, newsgroup, chat, or similar service; initiate, perpetuate, or in any way participate in any pyramid or other illegal scheme; participate in the collection of voluminous amounts of e-mail addresses, screen names, or other identifiers of others (without their prior consent), a practice sometimes known as spidering or harvesting, or participate in the use of software (including “spyware”) designed to facilitate this activity; collect responses from unsolicited bulk messages; falsify, alter, or remove message headers; falsify references to Company or its network, by name or other identifier, in messages; impersonate any person or entity, engage in sender address falsification, forge anyone else's digital or manual signature, or perform any other similar fraudulent activity (for example, “phishing”); and violate the rules, regulations, terms of service, or policies applicable to any network, server, computer database, service, application, system, or Web site that you access or use.
No user of the Internet Service or the Company equipment may, individually or in combination with another. use the Internet service or facilities for web-hosting, e-mail hosting, or other unusually high-bandwidth consumption unless you have made special subscription arrangements with Company and the usage does not otherwise violate law or regulation; access any other person's computer or computer system, network, software, or data without his or her knowledge and consent; breach the security of another user or system; or attempt to circumvent the user authentication or security of any host, network, or account. This includes, but is not limited to, accessing data not intended for you, logging into or making use of a server or account you are not expressly authorized to access, or probing the security of other hosts, networks, or accounts without express permission to do so; use or distribute tools or devices designed or used for compromising security or whose use is otherwise unauthorized, such as password guessing programs, decoders, password gatherers, keystroke loggers, analyzers, cracking tools, packet sniffers, encryption circumvention devices, or Trojan Horse programs. Unauthorized port scanning is strictly prohibited; copy, distribute, or sublicense any proprietary software provided in connection with the Internet Service by Company or any third party, except that you may make one copy of each software program for back-up purposes only; distribute programs that make unauthorized changes to software (cracks);use or run dedicated, stand-alone equipment or servers from the Premises that provide network content or any other services to anyone outside of your Premises local area network (“Premises LAN”), also commonly referred to as public services or servers. Examples of prohibited equipment and servers include, but are not limited to: e-mail, Web hosting, file sharing, and proxy services and servers; and service, alter, modify, or tamper with Company Equipment or Internet Service or permit any other person to do the same who is not authorized by Company.
In addition to being responsible for your own compliance with this AUP, you are also responsible for any use or misuse of the Internet Service that violates this AUP, even if it was committed by a friend, family member, or guest with access to your Internet Service account. Therefore, you must take steps to ensure that others do not use your account to gain unauthorized access to the Internet Service by, for example, strictly maintaining the confidentiality of your Internet Service login and password. In all cases, you are solely responsible for the security of any device you choose to connect to the Internet Service, including any data stored or shared on that device. It is also your responsibility to secure the customer equipment and any other Premises equipment or programs not provided by Company that connect to the Internet Service from external threats such as viruses, spam, bot nets, and other methods of intrusion.
Company reserves the right to refuse to transmit or post, and to remove or fail to transmit, any information or materials, in whole or in part, that it, in its reasonable discretion, deems to be in violation of Sections I or II of this AUP, or otherwise harmful to Company's network or customers using the Internet Service, if it violates this AUP. Neither Company nor any of its affiliates, suppliers, or agents have any obligation to monitor transmissions or postings (including, but not limited to e-mail, file transfer, blog, newsgroup, and instant message transmissions) made on the Internet Service. However, Company and its affiliates, suppliers, and agents have the right to monitor these transmissions and postings from time to time for violations of this AUP and to disclose, fail to transmit, or remove them in accordance with this AUP, the Subscriber Agreement, and applicable law.
All of Company’s network and system services are provided according to scheduled fees for each type of service. You agree to use such services in accordance with the terms set forth at the time of subscription to any such service.
Company manages its network with the goal of delivering a fast, safe, and uncompromised Internet experience to all of its customers. However, high-speed bandwidth and network resources are not unlimited. Managing the network is essential for an equitable Internet experience by all of Company’s customers. The company uses network management practices that are consistent with applicable law and industry standards as set forth in the Company Network Management and Open Internet Policy on our website.
The excessive use or abuse of Company’s network resources by one Customer may have a negative impact on all other Customers. Excessive use of network resources is that which in Company’s sole reasonable opinion, places an unusually large burden on the network or exceeds normal usage.
Accordingly, you may not use Company’s Internet Service or take any action, directly or indirectly, that will result in excessive consumption or utilization of network resources, or which may degrade network performance, as determined by Company’s sole reasonable discretion. Such prohibited actions include but are not limited to: using Company’s Internet Services to host a web server site which attracts excessive traffic at your location, or acting in a manner that negatively effects other users’ ability to engage in real time exchanges and use of Company’s Internet Services.
The Residential Internet Service is for personal and non-commercial Residential use only. Therefore, Company reserves the right to suspend or terminate Residential Internet Services accounts where data consumption is not characteristic of a typical Residential user of the Internet Services as determined by Company in its sole reasonable discretion.
If you use the Internet Services in violation of the restrictions referenced above, a violation of this AUP has occurred. In these cases, Company may, in its reasonable discretion, suspend or terminate your Internet Services account or request that you subscribe to a version of the Internet Services (such as a commercial grade Internet service, if appropriate) if you wish to continue to use the Internet Service at higher data consumption levels. Company may also provide versions of the Internet Service with different speed and data consumption limitations, among other characteristics, subject to applicable Internet Service plans.
Company reserves the right to immediately suspend or terminate your Broadband Service account if the service is being used, either knowing or unknowing, in violation of this AUP or your service agreement in a malicious way that poses a security threat and/or materially degrades service to other users.
Company does not routinely monitor the activity of individual Internet Service accounts for violations of this AUP, except for determining aggregate data consumption in connection with the data consumption provisions of this AUP. However, in the company's efforts to promote good citizenship within the Internet community, it will respond appropriately if it becomes aware of inappropriate use of the Internet Service. Company has no obligation to monitor the Internet Service and/or the network. However, Company and its suppliers reserve the right at any time to monitor bandwidth, usage, transmissions, and content to, among other things, operate the Internet Service; identify violations of this AUP; and/or protect the network, the Internet Service and Company users.
Company prefers to inform customers of inappropriate activities and give them a reasonable period in which to take corrective action. Company prefers to have customers directly resolve any disputes or disagreements they may have with others, whether customers or not, without Company's intervention. However, if the Internet Service is used in a manner that Company or its suppliers, in their reasonable discretion, believe violates this AUP, Company or its suppliers may take any responsive actions they deem appropriate under the circumstances with or without notice.
Company reserves the right to investigate suspected violations of this AUP, including the gathering of information from the user or users involved and the complaining party, if any, and examination of material on Company's servers and network. During an investigation, Company may suspend the account or accounts involved and/or remove or block material that potentially violates this AUP. You expressly authorize and consent to Company and its suppliers cooperating with (i) law enforcement authorities in the investigation of suspected legal violations, and (ii) system administrators at other Internet service providers or other network or computing facilities to enforce this AUP. Upon termination of your Internet Service account, Company is authorized to delete any files, programs, data, e-mail, and other messages associated with your account (and any secondary accounts).
The failure of Company or its suppliers to enforce this AUP, for whatever reason, shall not be construed as a waiver of any right to do so at any time. You agree that if any portion of this AUP is held invalid or unenforceable, that portion will be construed consistent with applicable law as nearly as possible, and the remaining portions will remain in full force and effect. You agree to indemnify, defend, and hold harmless Company and its affiliates, suppliers, and agents against all claims and expenses (including reasonable attorney fees) resulting from any violation of this AUP. Your indemnification will survive any termination of the Subscriber Agreement.
Company is committed to complying with U.S. copyright and related laws and requires all customers and users of the Internet Service to comply with these laws. Accordingly, you may not store any material or content on, or disseminate or download any material or content over, the Internet Service (or any part thereof) in any manner that constitutes an infringement of third party intellectual property rights, including rights granted by U.S. copyright law. Company will take actions to comply with the DMCA, including suspending or terminating accounts of repeat offenders consistent with the DMCA and Company’s policies.

CENTRIC FIBER APP TERMS AND CONDITIONS
Centric Fiber Op Co, LLC Mobile Application End User License Agreement (For the Apple App Store).
This Centric Fiber Op Co, LLC Mobile Application End User License Agreement ("Agreement") is a binding agreement between you ("End User" or "you") and Company. This Agreement governs your use of the Centric Fiber Op Co, LLC Mobile Application through the Apple App Store, including all related documentation, (the "App"). The App is licensed, not sold, to you.
BY CLICKING THE "ACCEPT" BUTTON BELOW OR CHECKING “I ACCEPT THE TERMS AND CONDITIONS” ON THE APP REGISTRATION PAGE, YOU
License Grant. Subject to the terms of this Agreement, Company grants you a limited, non-exclusive, and nontransferable license to download, install, and use the App for your personal, non-commercial use on a mobile device owned or otherwise controlled by you ("Mobile Device") strictly in accordance with the App's documentation. This license is provided to you free of charge.
License Restrictions. Licensee shall not:
Copy the App, except as expressly permitted by this license.
Modify, translate, adapt, or otherwise create derivative works or improvements, whether or not patentable, copyrightable, or registrable under intellectual property laws, of the App.
Reverse engineer, disassemble, decompile, decode, or otherwise attempt to derive or gain access to the source code of the App or any part thereof.
Remove, delete, alter, or obscure any trademarks or any copyright, trademark, patent, or other intellectual property or proprietary rights notices from the App, including any copy thereof.
Rent, lease, lend, sell, sublicense, assign, distribute, publish, transfer, or otherwise make available the App, or any features or functionality of the App, to any third party for any reason, including by making the App available on a network where it is capable of being accessed by more than one device at any time.
Remove, disable, circumvent, or otherwise create or implement any workaround to any copy protection, rights management, or security features in or protecting the App; or
Use the App in, or in association with, the design, construction, maintenance, or operation of any hazardous environments or systems, including any power generation systems; aircraft navigation or communication systems, air traffic control systems, or any other transport management systems; safety-critical applications, including medical or life-support systems, vehicle operation applications or any police, fire, or other safety response systems; and military or aerospace applications, weapons systems, or environments.
Reservation of Rights. You acknowledge and agree that the App is provided under license, and not sold, to you. You do not acquire any ownership interest in the App under this Agreement, or any other rights thereto other than to use the App in accordance with the license granted, and subject to all terms, conditions, and restrictions, under this Agreement. Company reserves and shall retain its entire right, title, and interest in and to the App, including all copyrights, trademarks, and other intellectual property rights therein or relating thereto, except as expressly granted to you in this Agreement.
Collection and Use of Your Information.
You acknowledge that when you download, install, or use the App, Company may collect information about your Mobile Device and about your use of the App. You may also be required to provide certain information about yourself as a condition to downloading, installing, or using the App or certain of its features or functionality. When you download, register with, or use the App, we may ask you to provide information by which you may be personally identified, such as name, email address, telephone number, or any other identifier by which you may be contacted online or offline ("personal information") and that is about you but individually does not identify you, such as your password, and your router’s MAC address and serial number. This information includes information that you provide by filling in forms in the App and information provided at the time of registering to use the App. We may also ask you for information when you report a problem with the App and keep records and copies of your correspondence (including email addresses and phone numbers), if you contact us. Company does not assume and will not have any liability or responsibility to you or any other person or entity for such information.
We use information that we collect about you, that you provide to us, including any personal information, to provide you with the App and its contents, and any other information, including any in-App notifications related to your use of the App, fulfill any other purpose for which you provide it and/or carry out our obligations and enforce our rights arising from any contracts entered into between you and us. We may also use information that we collect about you to contact you about goods and services offered by Company that may be of interest to you by sending you emails or in-App notifications. If you do not want us to use your information in this way, please do not use the App and delete your account. If you agree to let us use your information in this way but do not wish to receive in-App notifications, you may adjust your push notification preferences in your account profile.
All information we collect through or in connection with this App is subject to our Centric Fiber Op Co, LLC Mobile Application Privacy Policy. By downloading, installing, using, and providing information to or through this App, you consent to all actions taken by us with respect to your information in compliance with the Centric Fiber Op Co, LLC Mobile Application Privacy Policy. We may update our Centric Fiber Op Co, LLC Mobile Application Privacy Policy from time to time and updated versions will be posted on the link provided in this section.
Updates. Company may from time to time, at its sole discretion, develop and provide App updates, which may include upgrades, bug fixes, patches, other error corrections, and/or new features (collectively, including related documentation, "Updates"). Updates may also modify or delete in their entirety certain features and functionality. You agree that Company has no obligation to provide any Updates or to continue to provide or enable any particular features or functionality. Based on your Mobile Device settings when your Mobile Device is connected to the internet either:
the App will automatically download and install all available Updates; or you may receive notice of or be prompted to download and install available Updates.
You shall promptly download and install all Updates and acknowledge and agree that the App or portions thereof may not properly operate should you fail to do so. You further agree that all Updates will be deemed part of the App and be subject to all terms and conditions of this Agreement.
Term and Termination.
The term of Agreement commences when you acknowledge your acceptance and will continue in effect until terminated by you or Company as set forth in this Section 6.
Centric may terminate this Agreement at any time without notice if it ceases to support the App, which Centric may do in its sole discretion. In addition, this Agreement will terminate immediately and automatically without any notice if you violate any of the terms and conditions of this Agreement.
Upon termination:
Termination will not limit any of Company’s rights or remedies at law or in equity.
Disclaimer of Warranties. THE APP IS PROVIDED TO YOU "AS IS" AND WITH ALL FAULTS AND DEFECTS WITHOUT WARRANTY OF ANY KIND. TO THE MAXIMUM EXTENT PERMITTED UNDER APPLICABLE LAW, COMPANY, ON ITS OWN BEHALF AND ON BEHALF OF ITS AFFILIATES, EXPRESSLY DISCLAIMS ALL WARRANTIES, WHETHER EXPRESS, IMPLIED, STATUTORY, OR OTHERWISE, WITH RESPECT TO THE APPLICATION, INCLUDING ALL IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT, AND WARRANTIES THAT MAY ARISE OUT OF COURSE OF DEALING, COURSE OF PERFORMANCE, USAGE, OR TRADE PRACTICE. Indemnification. You agree to indemnify, defend, and hold harmless Company and its officers, directors, employees, agents, affiliates, successors, and assigns from and against any and all losses, damages, liabilities, deficiencies, claims, actions, judgments, settlements, interest, awards, penalties, fines, costs, or expenses of whatever kind, including reasonable attorneys' fees, arising from or relating to your use or misuse of the App or your breach of this Agreement, including but not limited to the content you submit or make available through this App.
Export Regulation. The App may be subject to US export control laws, including the US Export Administration Act and its associated regulations. You shall not, directly, or indirectly, export, re-export, or release the App to, or make the App accessible from any jurisdiction or country to which export, re-export, or release is prohibited by law, rule, or regulation. You shall comply with all applicable federal laws, regulations, and rules, and complete all required undertakings (including obtaining any necessary export license or other governmental approval), prior to exporting, re-exporting, releasing, or otherwise making the Application available outside the US.
Severability. If any provision of this Agreement is illegal or unenforceable under applicable law, the remainder of the provision will be amended to achieve as closely as possible the effect of the original term and all other provisions of this Agreement will continue in full force and effect.
Governing Law and Dispute Resolution. This Agreement shall be governed by the laws of the state of Texas, excluding its choice of law rules. The United Nations Convention for the International Sale of Goods shall in no event apply to this Agreement. Any and all dispute, claim or controversy arising out of or relating to this Agreement or the breach, termination, enforcement, interpretation, or validity thereof, including the determination of the scope or applicability of this agreement to arbitrate, shall be determined by arbitration held in Houston, Texas before one neutral arbitrator. THE PARTIES UNDERSTAND AND AGREE THAT THEY ARE WAIVING THEIR RIGHT TO BRING SUCH CLAIMS TO COURT, INCLUDING THE RIGHT TO A JURY TRIAL. The arbitration proceedings shall be administered by JAMS pursuant to its Comprehensive Arbitration Rules and Procedures, which are incorporated herein by reference, as may be modified by the provisions in this Section. The arbitration and proceedings shall be confidential. Either party may file pre-hearing motions directed at the legal sufficiency of a claim or defense equivalent to a demurrer or summary judgment prior to the arbitration hearing. The arbitrator will issue a detailed written decision and award, resolving the dispute. The arbitrator’s written opinion and award shall decide all issues submitted and set forth the legal principles supporting each part of the opinion and shall be final and binding upon the parties. The arbitrator shall be authorized to grant any temporary, preliminary, or permanent equitable remedy or relief the arbitrator deems just and equitable and within the scope of this arbitration agreement, including an injunction or order for specific performance. The arbitrator may award fees, costs, and reasonable attorneys’ fees to the party who substantially prevails in the arbitration. Judgment on the arbitral award may be entered in any court of competent jurisdiction. This clause shall not preclude the parties from seeking provisional remedies in aid of arbitration from a court of appropriate jurisdiction. Entire Agreement. This Agreement and our Privacy Policy constitute the entire agreement between you and Company with respect to the App and supersede all prior or contemporaneous understandings and agreements, whether written or oral, with respect to the App.
Waiver. No failure to exercise, and no delay in exercising, on the part of either party, any right or any power hereunder shall operate as a waiver thereof, nor shall any single or partial exercise of any right or power hereunder preclude further exercise of that or any other right hereunder. In the event of a conflict between this Agreement and any applicable purchase or other terms, the terms of this Agreement shall govern.

Patches are applied to all relevant systems unless a compensating control is implemented.

All data stored on the Company systems is encrypted following industry standards using the strongest keys and ciphers. All communications with the App are protected by industry standard security protocols.
You control access to your account and, as set forth in the Agreement, you are obligated to keep your login credentials and passwords secure and protected and maintained as confidential. Some customers, however, may experience longer download or upload times, or slower surf speeds on the web if instances of congestion occur on Company’s network.
Customers engaging in conduct that abuses or threatens the Company network or which violates the company’s Acceptable Use Policy, Internet Service Terms and Conditions, or the Internet Service Agreement will be asked to stop any such use immediately. A failure to respond or to cease any such conduct could result in service suspension or termination. In extreme cases of abuse or conduct which is impacting other users, Company may, consistent with its Policies, suspend service without notice.
Company’s network and congestion management practices are “application-agnostic”, based on current network conditions, and are not implemented based on customers’ online activities, protocols or applications. Company’s network management practices do not relate to any particular customer’s aggregate monthly data usage. Company does not prioritize or discriminate against any applications or protocols except for specialized networks.

Company promotes the security of its network and patrons by providing resources to its customers for identifying and reporting threats such as spam, viruses, firewall issues, and phishing schemes. As its normal practice, Company does not block any protocols, content or traffic, except, for allowable network management purposes the company may filter, up to and including limiting access or blocking if necessary and to the extent necessary, such traffic as spam, viruses, malware, or denial of service attacks to protect network integrity and the security of our customers. Company may filter or block ports, including limiting access or blocking access to or from such ports if necessary and to the extent necessary, to reduce the spread of computer-related viruses and protecting customer’s computer from intruder access. If Company suspects traffic originated by its customers is virus related, Company will contact the suspected party. If there is no response, the customer’s service will be suspended until the issue can be resolved. In extreme cases which are impacting other users or threatening network integrity, Company may suspend service without prior notification to the customer.
Company broadband services are best effort performance services. Company makes every effort to support advertised speeds and will perform speed tests as needed to troubleshoot and resolve speed and application performance issues that are caused by Company’s network. Company measures availability, latency, and aggregate utilization on the network and strives to meet internal service level targets in its network. However, the customer’s performance is also affected by the website being accessed, capacity in the public Internet beyond the Company network and the customer’s computer, inside wiring, wireless router, and other customer equipment.
Customers can test their actual speeds using the speed test found on the company website at https://centricfiber.speedtestcustom.com. Company is in the process of developing additional systems/processes that will allow us to measure the performance of the Company controlled network compared to advertised speeds. Once these systems are developed, Company will disclose the results on its website.

Company has deployed software that continuously monitors the network for performance and provides performance reports. In the backbone network, alarms or alerts are generated if the performance is degraded. In addition, traffic is analyzed and trended to ensure peak performance. Company also uses industry standard software tools to check for abnormal traffic flows, network security breaches, malware, loss, and damage to the network. If a breach is detected or high-volume users are brought to light by a complaint, Company provides notification to the customer via email or phone.
